25NTC Sponsor Terms and Conditions

Read NTEN's 25NTC Sponsor Terms and Conditions (“Terms and Conditions”) carefully. 

Your company (“Your company,” “contracting company,” “Sponsor”) agrees that, upon NTEN’s acceptance of you as a Sponsor and your payment of the sponsor fee, these Terms and Conditions shall become a legally binding contract (“Contract”) in accordance with its terms. The individual submitting the sponsor application (“you”) represents and warrants that you are duly authorized to execute this binding Contract on behalf of the contracting company.

By agreeing electronically, you acknowledge that you have both read and understood all information presented to you as part of the sponsor application process.

General

NTEN reserves the right to determine the eligibility of any Sponsor.  NTEN reserves sole control over admission policies. These Contract terms are established for the mutual protection of NTEN and the Sponsor. NTEN reserves the right to make such changes in the NTC schedule or the general plan, design, or layout of the event space as may be deemed by NTEN to be generally in the best interests of the NTC and attendees. All matters and questions not covered by these Contract terms are subject to NTEN's decision.

Payment

Sponsorship is contingent upon receipt of payment in full as set forth in this Contract. If the total amount of the sponsor payment has not been received before the start of the Nonprofit Technology Conference (“NTC”), NTEN reserves the right to cancel the sponsorship without any rebate or allowances.

The Sponsor also agrees to comply with all federal, state, and local laws, as well as the rules of the conference convention center and hotels. Terms are enforced regardless of whether or not the Sponsor attends the event. Should the agreement be referred to a collection agency for any reason, your company is responsible for costs associated with any and all collection efforts.

Equity commitment

As a part of NTEN’s commitment to equity and liberation, all Sponsors, partners, and other supporters are expected to operate with their own commitment to diversity, equity, and inclusion. NTEN expects those funding programs with direct access to people in our community to recognize that their actions reflect upon NTEN and meet the standards set in this commitment to equity and liberation. 

Sponsor representatives are subject to the NTEN code of conduct.

Privacy policy

NTEN does not provide the names and contact information of any of its members or NTC attendees to Sponsors.

Changes, cancellations, and refunds

NTEN incurs significant expenses before the event and also understands that circumstances change.

To cancel a sponsorship granted in this Contract, the Sponsor must send a cancellation notice in writing to NTEN, c/o Amy Sample Ward. Requests can be submitted via email to amy@nten.org.

Termination

In the event of termination of this Contract by NTEN for any reason, the Sponsor waives any and all damages and claims for damages. In the event of termination, Sponsorship  fees are nonrefundable.

Termination for breach: 

If the Sponsor breaches this Contract, NTEN may terminate the sponsorship or any other options, features, or benefits granted to the Sponsor by giving at least five (5) days prior written notice via email to the Sponsor, except if the breach occurs within five (5) days before the first day of the NTC or during the NTC, upon which termination shall be effective immediately upon NTEN giving written notice via email.

A breach of this Contract includes, but is not limited to, the following: Sponsor’s failure to pay any fees due, solicitation or interference, or violating NTEN’s code of conduct.

Termination for a breach shall be in addition to any other remedies that may be available to NTEN.

Termination for event cancellation or interruption:

If the NTC is canceled or interrupted, NTEN may terminate this Contract. Reasons the NTC may be canceled or interrupted include but are not limited to, the following: part or all of premises where the NTC is to be housed are destroyed or damaged; access to part or all of the premises is prevented or interfered with; the NTC is rescheduled, relocated, disrupted, discontinued, ends early, or fails to take place as scheduled or described; or other disruptions not caused by NTEN, including force majeure or any other unavoidable events.

Badges

For Sponsor badges, please refer to your purchase confirmation, as the quantity of complimentary badges varies with each sponsor type. Badge sharing is not permitted.

Solicitation and interference

The aisles and all other spaces in the event space shall be under the control of NTEN. All displays, interviews, conferences, distribution of literature, lectures, or any other type of activity shall be conducted inside the space allotted to each Sponsor.

Arbitration

Any controversy or claim arising out of or relating to this Contract, or the breach thereof, shall be settled by arbitration in accordance with the Rules of the American Arbitration Association, and judgment upon the award rendered by the Arbitrator(s) may be entered in any court having jurisdiction thereof. Arbitration will be held in Oregon. This Contract shall be deemed entered into in Oregon and interpreted according to the laws of the state of Oregon.

Indemnification and hold harmless

Sponsor warrants that it is the owner or licensee of all intellectual property used by Sponsor at the NTC or in promotion thereof. Sponsor agrees to defend, indemnify, and hold harmless NTEN for any action brought against NTEN and any cost incurred by NTEN, including attorneys’ fees, arising out of any dispute involving intellectual property owned or used by Sponsor at the NTC or in promotion thereof.

No endorsement

NTEN does not endorse any of the products or services of the Sponsor. The Sponsor acknowledges and agrees that any representation to the contrary made by the Sponsor to any third party shall constitute a breach of this Contract.

Force majeure

NTEN shall not be held responsible for any loss, damage, interruption, delay, or other failures to perform for any cause beyond NTEN’s reasonable control, including, but not limited to a strike, lockout, walkout, protest, riot, civil commotion, injunction, act of war, enemy action, act of terrorism, unavoidable casualty, pandemic, health crisis, natural disaster or catastrophe, fire, storm, flood, earthquake, tornado, accident, prolonged shortage of electricity or energy, acts of State, governmental actions or restrictions, emergency declared by any government agency, acts of God, or other causes similar or dissimilar.
